§1 Name, Registered Office and Financial Year

  1. The association bears the name “iTech”.
  2. It has its registered office at Hinterweg 18a, 61250 Usingen, Hesse, Germany.

§2 Purpose and Objectives of the Association

  1. The purpose of the association is the development and provision of software that helps other associations to organize themselves efficiently.
  2. The association pursues exclusively and directly charitable purposes within the meaning of the section “Tax-privileged purposes” of the German Fiscal Code (Abgabenordnung).
  3. The association acts selflessly; it does not primarily pursue its own economic purposes.

§3 Objectives of the Association

Support for the work of non-profit organizations as well as bodies governed by public law:

  1. Conservation of resources: Facilitation of organizational and planning processes through software, applications and AI. Here, time and costs are saved by providing a cost-effective and efficient software solution and/or consulting concepts.
  2. Education and training: Provision of training materials and organization of workshops in order to support members of non-profit organizations as well as bodies governed by public law in handling the new technologies (software and applications, etc.).
  3. Networking: Promotion of cooperation and exchange between non-profit organizations as well as bodies governed by public law for the joint improvement and further development of the new IT technologies (the software, applications, etc.).
  4. Innovation, further development and development as well as marketing of user-friendly software and applications: Creation of an intuitive platform that optimizes the administrative and communication processes within associations. Development and implementation of AI-supported applications and processes.

§4 Membership

  1. Any natural or legal person who supports the objectives of the association may become a member.
  2. The application for admission to the association must be submitted in writing. The board decides on admission.
  3. Membership ends by withdrawal, exclusion or death of the member. Withdrawal must be declared in writing to the board.

§5 Contributions

  1. Contributions are levied from the members. The amount of the annual contribution and its due date are determined by the general assembly.
  2. Honorary members are exempt from the obligation to pay contributions.

§6 Bodies of the Association

The bodies of the association are:

  1. the general assembly
  2. the board

§7 General Assembly

  1. The ordinary general assembly takes place once a year.
  2. An extraordinary general assembly must be convened if the interest of the association so requires or if at least one third of the members demand this in writing, stating the purpose and the reasons.
  3. The general assembly is convened in writing by the board, observing a notice period of two weeks. The agenda set by the board must be communicated.
  4. The general assembly is responsible for:
    • the election and removal of the members of the board,
    • the receipt of the annual report of the board,
    • the discharge of the board,
    • the determination of the amount and due date of the annual contribution,
    • the adoption of resolutions on amendments to the statutes and the dissolution of the association.

§8 Board

  1. The board consists of the chairperson, the deputy chairperson and the treasurer.
  2. The board is elected by the general assembly for a term of two years. However, it remains in office until a new board is elected.
  3. The board conducts the affairs of the association on a voluntary (honorary) basis.

§9 Dissolution of the Association

  1. The dissolution of the association may only be decided in a general assembly with a majority of three quarters of the votes cast.
  2. In the event of the dissolution of the association or the discontinuation of tax-privileged purposes, the assets of the association shall pass to a legal entity governed by public law or another tax-privileged body for the purpose of use in the promotion of science and research.

§10 Data Protection

  1. The association collects, processes and uses the personal data of its members in order to fulfil the purposes and tasks of the association.
  2. The data is protected against access by unauthorized third parties.

§11 Entry into Force

These statutes enter into force upon entry in the register of associations.
